Terms of Service

These terms govern Provon services that we host and operate. The MIT-licensed Provon software remains governed by its open-source license.

Agreement and scope

These Terms of Service (the "Terms") are an agreement between you and Provon, Inc. for access to websites, applications, APIs, Gateway, OpenTelemetry ingest, and other services operated by Provon (the "Hosted Services"). By creating an account or using the Hosted Services, you agree to these Terms and the Privacy Policy. If you use the Hosted Services for an organization, you represent that you can bind that organization, and "you" includes it.

These Terms do not replace the MIT License for Provon source code. Running, copying, modifying, or distributing the open-source software is governed by that license. If a self-hosted deployment connects to a Hosted Service, these Terms apply only to the Hosted Service. An order form, data processing agreement, security addendum, or other written agreement signed by both parties controls if it conflicts with these Terms.

The Hosted Services

Provon helps teams capture agent activity through AI Gateway, OpenTelemetry, and supported transcript sources; inspect traces and conversations; run policies, workflows, evaluations, and diagnostic Rules; review Findings; and send approved work to configured integrations. Features and availability can vary by plan, deployment, region, or configuration.

Subject to these Terms, Provon grants you a limited, non-exclusive, non-transferable right to access and use the Hosted Services for your internal business purposes during the applicable service period. You may allow authorized users and workloads to use your account, but you remain responsible for their compliance and activity.

We may add, change, or discontinue features and may set reasonable technical and usage limits. We will provide notice of a material reduction to paid Hosted Services when reasonably practicable, unless immediate action is needed for security, legal compliance, abuse prevention, or reliability. A service-level commitment applies only if stated in a signed agreement.

Accounts and access

You must be at least 18 and legally able to enter this agreement. Account, organization, project, and billing information must be accurate and kept current. You are responsible for deciding who may join your organization and what roles and project permissions they receive.

You are responsible for activity using your users, sessions, project API keys, provider credentials, service accounts, and integrations. Keep credentials confidential, use least-privilege scopes, and promptly revoke access or notify us if you suspect compromise. You may not share individual sign-in credentials or use another person's account without authorization.

Customer Content

"Customer Content" means data submitted to or generated through the Hosted Services for you, including telemetry, prompts, model outputs, tool activity, conversation and user identifiers, retrieval context, attachments, diagnostic evidence, Findings, workflows, evaluations, comments, configuration, and integration content.

As between you and Provon, you retain your rights in Customer Content. You grant Provon a non-exclusive right to host, copy, transmit, transform, display, and otherwise process Customer Content only as needed to provide, secure, support, and maintain the Hosted Services, comply with law, and follow your configured actions and documented instructions.

You are responsible for the legality, accuracy, and quality of Customer Content and for obtaining required rights, notices, and consents. Do not submit protected health information, payment-card data, government identifiers, biometric data, data about children, or other specially regulated data unless a written agreement expressly permits it and the Hosted Services are configured for that use.

Provon may create aggregate or deidentified service statistics that do not reasonably identify you, your organization, or an individual. Provon may use those statistics to operate, secure, analyze, and improve its services.

Model providers and integrations

The Hosted Services can route data to model providers, identity providers, repositories, issue trackers, communication tools, and other services that you select. You authorize Provon to exchange Customer Content and account information with those services as needed for the configured feature. Their terms, privacy policies, availability, and charges apply separately.

You are responsible for provider and connector accounts, credentials, scopes, and instructions. Provon is not responsible for third-party changes, outages, outputs, or retention after data leaves the Hosted Services. Disabling an integration stops future use but may not delete data already sent to the third party.

AI results and decisions

Provon can use deterministic checks and configured models to produce scores, summaries, evaluations, recommendations, and Findings. These results can be incomplete, inaccurate, or inappropriate for a particular context. You are responsible for reviewing evidence and validating results before using them in production changes, security actions, legal or compliance decisions, or decisions that materially affect a person.

Acceptable use

When using the Hosted Services, you must not:

  • Use the Hosted Services for unlawful, harmful, fraudulent, infringing, abusive, or deceptive activity.
  • Submit data you do not have the right to process or violate another person's privacy, intellectual-property, or contractual rights.
  • Probe, scan, disrupt, overload, or bypass the Hosted Services or their security, authentication, rate, plan, or usage controls without written authorization.
  • Use credentials or access paths assigned to another customer, or attempt to access another organization's data.
  • Introduce malware or use the Hosted Services to compromise systems or people.
  • Resell or provide access to the Hosted Services as a standalone hosted product unless a written agreement permits it.

This section restricts misuse of the Hosted Services. It does not limit rights granted by the MIT License to the open-source software.

Plans, fees, and payment

Hosted Service plans may include fixed fees, usage-based fees, limits, or included allowances. The checkout page or order form identifies the plan, prices, billing period, renewal terms, and applicable usage charges. You authorize Provon and its payment processor to charge those amounts and applicable taxes using your selected payment method.

Paid subscriptions renew until canceled if the checkout page or order form says they auto-renew. Plan changes, cancellation timing, and access after cancellation follow the terms shown when you purchase or manage the subscription. Fees are non-refundable except as required by law or stated in a written agreement. You remain responsible for charges incurred before a cancellation takes effect.

Free plans, credits, previews, and trials may have additional limits and may be changed or ended. A trial converts to a paid plan only when that conversion and its price were disclosed when you started the trial or you later authorize the purchase.

Previews and beta features

Features identified as preview, alpha, beta, experimental, or evaluation may be incomplete, change without notice, and be discontinued. They are provided for testing and should not be used for production workloads that require committed availability, security, retention, or support unless a written agreement says otherwise.

Confidentiality and security

Each party may receive non-public business, technical, security, or operational information from the other. The receiving party will use reasonable care to protect it and use it only to perform under these Terms. These duties do not apply to information that is public through no breach, already lawfully known, independently developed, or lawfully received without confidentiality duties. A required legal disclosure is permitted after reasonable notice where legally allowed.

Provon uses safeguards designed to protect the Hosted Services and Customer Content, but no system is perfectly secure. You are responsible for appropriate telemetry capture, redaction, retention, provider selection, integration scopes, and access controls. Additional security or data-processing commitments apply only if included in a signed agreement.

Provon technology and feedback

Provon and its licensors retain rights in the Hosted Services, service-specific software, designs, documentation, and related technology, excluding Customer Content and open-source components. Open-source components remain governed by their respective licenses, including the MIT License for the Provon open-source software.

If you voluntarily provide feedback, you grant Provon a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate it without restriction or compensation. Feedback does not include Customer Content or your confidential information.

Suspension, termination, and data

You may stop using the Hosted Services or cancel a subscription through the available account or billing controls. We may suspend or terminate access for material breach, non-payment, security risk, unlawful activity, harm to the Hosted Services or others, or when required by law. When practicable, we will provide notice and an opportunity to cure a remediable breach.

Before termination, you should export Customer Content using available product or API features. After termination, we may delete Customer Content from active systems according to the Privacy Policy, the applicable plan, and any signed agreement. We are not required to retain or recover deleted content. Terms that by their nature should continue, including payment, confidentiality, ownership, disclaimers, liability limits, indemnity, and general terms, survive termination.

Disclaimers

Except for express commitments in a signed agreement and to the fullest extent permitted by law, the Hosted Services, previews, and all results are provided "as is" and "as available." Provon disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted, secure, or error-free operation.

Provon does not warrant that telemetry is complete, that a Rule or model will detect every issue, that a Finding is correct, or that a third-party model, provider, or integration will remain available or produce a particular result. You are responsible for backups and for evaluating the Hosted Services for your requirements.

Limitation of liability

To the fullest extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or business opportunity, even if advised that those damages were possible.

To the fullest extent permitted by law, Provon's total liability arising from the Hosted Services or these Terms will not exceed the amounts you paid to Provon for the Hosted Services giving rise to the claim during the twelve months before the event that created the liability. These limits do not apply where applicable law does not permit them.

Indemnity

To the extent permitted by law, you will defend and indemnify Provon, Inc. and its affiliates, officers, employees, and agents against third-party claims arising from Customer Content, your unlawful or unauthorized use of the Hosted Services, or your material violation of these Terms or another party's rights. Provon will provide prompt notice and reasonable cooperation, and you may not settle a claim in a way that admits fault or imposes obligations on Provon without our consent.

General terms

These Terms and any incorporated written agreements are the entire agreement about the Hosted Services and replace earlier discussions on that subject. A failure to enforce a provision is not a waiver. If a provision is unenforceable, it will be modified only as needed and the remaining provisions continue.

You may not assign these Terms without Provon's written consent, except as part of a merger or sale of substantially all relevant assets. Provon may assign these Terms as part of a reorganization, merger, acquisition, or sale of assets. Neither party is liable for delay caused by events beyond its reasonable control. These Terms do not create a partnership, agency, employment, or third-party beneficiary relationship.

Changes to these Terms

We may update these Terms as the Hosted Services or law changes. We will post the revised Terms and update the date above. For a material change that adversely affects a paid subscription, we will provide reasonable advance notice where practicable. If you do not agree, you must stop using the Hosted Services before the change takes effect. Continued use after the effective date means you accept the revised Terms.
