Agreement to these terms
By creating an account, accessing, or using Provon, you agree to these Terms of Service and the Privacy Policy. If you use Provon for an organization, you represent that you are authorized to accept these terms for that organization, and "you" includes that organization.
Separate order forms, data processing agreements, security addenda, service-level agreements, or enterprise terms signed by Provon and your organization control where they conflict with these terms.
Using Provon
Provon provides hosted and related software services for AI and agent quality workflows, including OpenTelemetry-derived observability, trace inspection, conversation analysis, online evaluation, AI and human review, findings management, policy checks, regression datasets, personas, and project-level retention.
During your subscription or permitted free use, Provon grants you a limited, non-exclusive, non-transferable right to access and use the service for your internal business purposes in accordance with documentation, product limits, and these terms.
Provon may improve, modify, suspend, or discontinue features over time. We will not materially reduce the security or core functionality of paid subscriptions during the current term without reasonable notice, unless needed for security, legal, abuse-prevention, or reliability reasons.
Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use Provon. You are responsible for maintaining accurate account, organization, billing, and workspace information.
You are responsible for all activity under your users, sessions, API keys, project tokens, service accounts, and integrations. Keep credentials confidential, grant access only to authorized users, and promptly notify us if you suspect unauthorized use.
Customer data
"Customer Data" means content, data, and materials submitted to or processed by Provon from or on behalf of you, including traces, spans, logs, metrics, prompts, outputs, tool calls, conversation excerpts, user identifiers, evaluation scores, judge explanations, datasets, findings, policies, personas, comments, and workspace configuration.
You retain ownership of Customer Data. You grant Provon the rights needed to host, copy, process, transmit, display, analyze, and otherwise use Customer Data to provide the service, support your requested workflows, maintain integrations, troubleshoot incidents, secure the service, comply with law, and fulfill these terms.
You represent that you have all rights, notices, permissions, and consents needed for Provon to process Customer Data. Unless we have expressly agreed in writing, do not submit protected health information, payment card data, government identifiers, precise geolocation, biometric data, special categories of personal data, or data about children.
Prompts, outputs, and evaluations
Provon helps teams evaluate AI systems, but it does not guarantee that model outputs, judge results, scores, policy decisions, recommendations, or findings are accurate, complete, lawful, safe, or suitable for your use case. You remain responsible for validating outputs before relying on them in production or customer-facing decisions.
If you connect LLM providers, observability backends, repositories, ticketing tools, warehouses, or other third-party platforms, your use of those platforms is governed by their terms. You authorize Provon to send and receive Customer Data through enabled integrations as needed to provide the configured functionality.
Acceptable use
You agree not to, and not to permit others to:
- Use Provon for unlawful, harmful, fraudulent, infringing, abusive, or deceptive activity.
- Submit Customer Data you are not permitted to process or that violates third-party rights or applicable law.
- Probe, scan, stress test, disrupt, bypass, or interfere with the service or its security controls without written authorization.
- Reverse engineer, decompile, copy, resell, sublicense, or provide Provon as a standalone service to third parties.
- Upload malware, exploit code, secrets intended for misuse, or content designed to compromise systems or people.
- Use automated access in a way that exceeds product limits, degrades reliability, or avoids billing or usage controls.
Subscriptions, fees, and trials
Paid plans are billed according to the plan, usage limits, billing cycle, add-ons, and order details you select or sign. You authorize Provon or its payment processors to charge applicable fees and taxes using the payment method you provide.
Free tiers, previews, beta features, and trials may be modified or discontinued at any time and are provided as-is unless a separate written agreement says otherwise. If a trial converts to a paid subscription, billing starts according to the checkout or order terms presented to you.
Confidentiality and security
Each party may receive non-public business, technical, product, security, or operational information from the other. Each party will protect the other's confidential information using reasonable care and use it only to perform under these terms, except where disclosure is required by law or permitted to advisors, providers, or personnel bound by appropriate confidentiality obligations.
Provon uses administrative, technical, and organizational safeguards designed to protect the service and Customer Data. No system is perfectly secure, and you are responsible for configuring retention, access controls, integrations, and telemetry collection appropriately for your organization.
Ownership and feedback
Provon and its licensors own the service, software, interfaces, documentation, designs, workflows, and related intellectual property. Except for the limited rights expressly granted here, Provon reserves all rights in the service.
If you provide feedback, suggestions, or ideas, you grant Provon a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation.
Term and termination
These terms begin when you first access or use Provon and continue until terminated. You may stop using Provon or cancel according to your plan or order terms. Provon may suspend or terminate access for material breach, non-payment, legal risk, security risk, abuse, or as otherwise permitted by law or an applicable order form.
Disclaimers and liability limits
Provon is provided on an "as is" and "as available" basis except where a separate written agreement states otherwise. To the fullest extent permitted by law, Provon disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation.
To the fullest extent permitted by law, Provon will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption. Provon's aggregate liability for claims arising out of these terms is limited to the amounts you paid to Provon for the service giving rise to the claim during the twelve months before the event giving rise to liability.
Indemnity
You will defend and indemnify Provon Labs, Inc. and its affiliates, officers, employees, and agents from third-party claims arising from your Customer Data, unauthorized use of Provon, violation of these terms, violation of law, or infringement or misappropriation of third-party rights.
Changes to these terms
We may update these terms from time to time. When we make changes, we will update the date at the top of this page. For material changes to paid subscriptions, we will provide reasonable notice when practical. Continued use of Provon after changes become effective means you accept the updated terms.
